FAQs

Q. What is this conversion all about? 

A. Entrust is converting all of our customer licenses from a license + Software Maintenance Agreement ("SMA") model to a Subscription-based model. This will apply to existing licenses as well as the purchase of any new licenses that otherwise would have been under a license + SMA model.

Q. What licenses does this affect? 

A. This is meant to move all of Customer's existing licenses and any future purchase of licenses to a subscription model. This will not affect the version of software that you are on. 

Q. What are the new product descriptions on my Order Renewal? 

A. These are one-to-one conversions moving you from a SMA to our new subscription model. If you would like to view this one-to-one conversion, please reach out to your Contract Specialist. 

Q. How will this affect my day-to-day operations? 

A. This conversion is not intended to have any notable effect on Customer's day-to-day business operations. This is a communication to notify Customer of the pro forma change on invoices that Customer will receive from Entrust from the date of your order renewal moving forward. 

Q. What is the cost to be converted? 

A. There is no cost to convert your licenses from the prior model to a subscription model. 

Q. Will there be any increase in license fees or subscription costs moving forward? 

A. There will not be any charge for license fees, as these were one-time costs for Customer to buy licenses. Customer's license + SMA pricing will be simplified moving forward into a single cost per subscription license. Service Agreement renewals will follow the same process as of today. 

Q. Does the subscription cost include updates and upgrades to my version of software? 

A. No. Updates and upgrades to software versions will still follow our same standard practice today. 

Q. Why do I have to convert to a subscription? 

A. At Entrust, we aim to be the most trustworthy brand you work with. We are committed to offering top-tier functionality and security to our customers. As licensing models in our industry evolve, we've decided to move away from the outdated SMA model and offer a more streamlined subscription approach. This change will make the experience simplified and easier to manage for our customers. 

Q. Is it necessary to convert our licenses? 

A. Yes. Entrust is converting all customer licenses at this time. 

Q. Do I have to sign a new Master Agreement to agree to the conversion? 

A. No. No further action is needed on your part to signal assent to the conversion or to get it started.

SOFTWARE SUBSCRIPTIONS

From the effective date of this notice, which is the first date of Customer’s payment of subscription fees to Entrust, Customer's licenses for software will be subject to payment of software subscription fees for the term set forth in the relevant order. In other words, Customer's software license term provided for herein will no longer be contingent on payment and renewal of a software maintenance agreement per license, or as may be otherwise set forth in this agreement or prior orders between the parties. During the term of the software subscription, Entrust will provide support and maintenance to Customer's software licenses under the agreement pursuant to Customer's timely payment of relevant software subscription fees. Any other language in the agreement regarding software maintenance agreements, including without limitation any renewal thereof, will apply to the software subscription unless otherwise agreed between the parties in writing.

HARDWARE SUBSCRIPTIONS

From the effective date of this notice, which is the first date of Customer's payment of subscription fees to Entrust, Customer acknowledges and agrees that all hardware maintenance support will be subject to payment of hardware maintenance subscription fees for the term set forth in the relevant order. During the term of the hardware subscription, Entrust will provide support and maintenance to Customer's hardware under the agreement pursuant to Customer's timely payment of relevant hardware subscription fees. Any other language in the agreement regarding hardware maintenance agreements, including without limitation any renewal thereof, will apply to the hardware subscription unless otherwise agreed between the parties in writing.

Other than the changes set forth herein, there are no other amendments or changes to the agreement. For the avoidance of doubt, (1) Entrust’s software license and hardware maintenance terms are unchanged, excluding the change in the term of the license as provided herein, and (2) Entrust’s software support obligations pursuant to the software subscription will remain as set forth in any software maintenance and support provisions in the agreement or as may be otherwise provided by Entrust; (3) Entrust's hardware support obligations pursuant to the hardware subscription will remain as set forth in any hardware maintenance and support provisions in the agreement or as may be otherwise provided by Entrust.

These terms supersede any conflicting provisions in the agreement.
